5. Services Agreement

When you access, use, and/or register a business account with Astra Marketing LLC, our Services Agreement will apply. In instances where there is a conflict between the Services Agreement and these Terms of Use, the Services Agreement will take precedence.

6. Indemnification

You, and any third party for whom you operate an account or activity on our Service, agree to defend, indemnify, and hold harmless Astra Marketing LLC and its partners, service providers, affiliates, officers, employees, and agents (collectively, “Astra Marketing LLC Related Parties”) from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable attorney fees and costs. This indemnification covers any issues arising from or related to any of the following: (i) your User Content or your access to or use of our Service; (ii) your breach or alleged breach of these Terms of Use; (iii) your violation of any third-party right, including, but not limited to, intellectual property, publicity, confidentiality, property, or privacy rights; (iv) your violation of any laws, rules, regulations, codes, statutes, ordinances, or orders of any governmental and quasi-governmental authorities, including, without limitation, all regulatory, administrative, and legislative bodies; and/or (v) any misrepresentation made by you. You are expected to provide full cooperation to Astra Marketing LLC in the defense of any claim. Astra Marketing LLC reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you shall not settle any claim without the prior written consent of Astra Marketing LLC.

7. Our Liability to You

(a) There is no limit under the Agreement to what Astra Marketing LLC or any of our representatives will be liable for if we have committed fraud or if someone dies or is severely injured due to our gross negligence.

(b) Except as set out in paragraph 7(a), neither Astra Marketing LLC nor any of our representatives will, under any circumstances, be responsible for any:

  • Loss of profits, sales, business, or revenue;

  • Loss or corruption of data, information, or software, or loss of use of information;

  • Loss of business opportunity;

  • Loss of anticipated savings;

  • Loss of goodwill; or

  • Any indirect or consequential loss or damage that you and we would not have considered likely at the time the Agreement was formed.

(c) If Astra Marketing LLC fails to comply with these Terms, we will only be responsible for loss or damage you suffer that is a foreseeable result of our breach of the Agreement or our negligence, but we are not responsible for any loss or damage that is not foreseeable. Loss or damage is foreseeable if it was an obvious consequence of our breach or if it was contemplated by you and us at the time the Agreement was formed. We are not responsible for any other loss that you suffer, whether that loss is caused because we have not kept to our obligations under the Agreement, because of something we have done or not done, because we have made defamatory statements, or otherwise as a result of:

  • Your use or reliance on the Services;

  • Your inability to use the Services;

  • Any mistake, fault, failure to do something, missing information, or virus in the Services or if the Services do not work properly because of events outside our control;

  • Theft or destruction of information or unauthorized access to our records, programs, or services; or

  • Any information, data, message or other material which you email, post, upload, reproduce, send, or otherwise distribute or receive using the Services.

(d) Except as explicitly stated in the Terms, Astra Marketing LLC makes no specific promises about the Services. Any implied warranties or conditions relating to the Services are excluded to the extent permitted by law. It is your responsibility to determine whether the Services are suitable for your needs, and Astra Marketing LLC will not be responsible for this. We do not guarantee specific performance, results, or success rates that may be achieved by any Service.

(e) Astra Marketing LLC does not control the Content made available through your use of the Services and does not guarantee the accuracy, truthfulness, quality, or appropriateness of this Content for your needs. By using the Services, you may be exposed to Content that is offensive, indecent, or which may contain viruses or other harmful elements. 8. Indemnification

You agree to defend, indemnify, and hold harmless Astra Marketing LLC and its affiliates, officers, agents, employees, and partners (collectively, "Astra Marketing Parties") from and against any losses, damages, liabilities, claims, actions, expenses (including reasonable attorneys' fees), or injury (including death) ("Claims"), arising out of or in connection with your use of our Services, your website(s), or your breach of these Terms, applicable laws, rules, regulations, or the rights of any third parties. Astra Marketing LLC will provide you with notice of any such Claims. You shall not settle any Claim without the prior written consent of Astra Marketing LLC.

10. Entire Agreement

These Terms of Use, along with any supplemental terms, policies, rules, and guidelines posted on Astra Marketing LLC's website, including our Privacy Policy, constitute the entire agreement between you, the user, and Astra Marketing LLC. These terms supersede all prior communications, proposals, and agreements, whether electronic, oral, or written, between the user and Astra Marketing LLC with respect to our website and services.

In the event that any provision of these Terms of Use is found to be invalid or unenforceable under any applicable law, such invalidity or unenforceability will not render these Terms of Use entirely invalid. Instead, these Terms of Use shall be construed in a manner consistent with applicable law to reflect, as nearly as possible, the original intentions of the parties while ensuring that the remaining provisions remain in effect and enforceable.

The failure or delay by Astra Marketing LLC to exercise or enforce any right or provision of these Terms of Use shall not operate as a waiver of such right or provision. A waiver of any right or provision will only be effective if it is in writing and signed by a duly authorized representative of Astra Marketing LLC.
